Malva - Terms of Service

1. Acceptance of Terms

Welcome to Malva. These Terms of Service ("Terms") govern your access to and use of the Malva platform and services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Description of Service

Malva is a platform that enables users to search and analyze single-cell and spatial genomics data across multiple datasets. Our platform offers various features and subscription tiers as described on our Pricing page.

3. Registration and User Accounts

To access certain features of the Service, you may be required to register for an account. You must provide accurate, current, and complete information during the registration process and keep your account information updated.

You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Subscription Plans and Payment

4.1 Free Tier

The Free tier of our Service provides limited access to certain features and public datasets, as described on our Pricing page. We reserve the right to modify or discontinue the Free tier at any time.

4.2 Paid Subscriptions

By subscribing to a paid plan, you agree to pay the applicable subscription fees as described on our Pricing page. All fees are exclusive of taxes unless stated otherwise.

Subscriptions automatically renew at the end of each billing period unless canceled prior to the renewal date. You authorize us to charge your payment method for each renewal period until you cancel your subscription.

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, you will continue to have access to the Service until the end of your current billing period, after which your access will revert to the Free tier.

We do not provide refunds for unused portions of your subscription period unless required by law.

5. User Responsibilities and Conduct

When using the Service, you agree:

To comply with all applicable laws and regulations
Not to violate the intellectual property rights of others
Not to use the Service for any illegal or unauthorized purpose
Not to interfere with or disrupt the Service or servers connected to the Service
Not to attempt to circumvent any limitations or security measures of the Service
Not to engage in excessive usage that negatively impacts other users
Not to use the Service to transmit viruses, malware, or other harmful code

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Malva and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

6.2 User Content

For Enterprise users who upload custom datasets or other materials ("User Content"), you retain all rights to your User Content. By uploading User Content, you grant us a non-exclusive, royalty-free license to use, store, and process your User Content solely to provide and improve the Service.

6.3 Public Datasets

The public datasets accessible through our Service are governed by their respective licenses. When using these datasets, you agree to comply with the terms of those licenses.

7. Data Usage and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your data.

8. Limitation of Liability

In no event shall Malva, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Service;
Any conduct or content of any third party on the Service;
Any content obtained from the Service; and
Unauthorized access, use, or alteration of your transmissions or content.

9. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Malva expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Malva makes no warranty that the Service will meet your requirements, be available on an uninterrupted, secure, or error-free basis, or that the results that may be obtained from the use of the Service will be accurate or reliable.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including, without limitation, if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be notified to you through the Service or via email. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to, or use of, the Service or these Terms shall be instituted in the federal or state courts located in San Francisco, California.
